Introduction

Welcome to KIP101’s knowledge sharing platform (the “Service”).  Please read these Terms and Conditions ("Terms") carefully before using our Service.  These Terms apply to all visitors and users.  By accessing or using the Service you agree to be bound by these Terms.

 

Accounts

Only individuals above the age of 18 (or above the age of 13 with parental or guardian consent) can use the Service.  When you create an account, you represent that you meet the age requirements.  You further represent that the information you provide with respect to your identity is accurate.  Misrepresenting your identity, creating a false identity, and creating an account for someone other than yourself is strictly prohibited, as is using another user’s account.

 

You bear the responsibility for keeping your account login and password details confidential, as well as any activities in your account.  If you become aware of unauthorized usage of your account, please notify us immediately.

 

Limits of Use

The KIP101 platform is built to enable the sharing of information that will lead to users’ professional growth, and you agree to use the Service in a lawful and professional manner for this purpose.  You further agree that you will not do any of the following:

 

1. Communicate or disseminate information that is false, violates intellectual property rights (such as copyrights) or confidentiality requirements, abusive, libelous, obscene, profane or otherwise detrimental to a user’s well-being;

2. Use the KIP101 platform for any selling or solicitation activities;

3. Disclose or distribute any information obtained from the Service without KIP101’s consent;

4. Override security features or develop and/or implement means to scrape data from or monitor the activity of the platform;

5. Interfere with the operations and proper working of the Service;

6. Reverse engineer any of the software the make up the Service.

 

Termination

We reserve the right to terminate your account at any time for any or no reason, including but not limited to a breach of the Terms.  You may also discontinue using the Service at any time for any or no reason.  Following termination, KIP101 retains the right to review your activity and any content you created on the platform, as well as re-share content and information you shared through the Service to the extent shared prior to termination.

 

Intellectual Property

KIP101 reserves all of its intellectual property rights in the Service. You agree that the Service, including but not limited to user interface, content, graphics, audio and video clips, editorial content, and the scripts and software used to implement the Service, contain proprietary information and material that is owned by KIP101, and is protected by applicable intellectual property and other laws, including but not limited to copyright.  You agree that using the Service does not give you any ownership in our Service or the content or information made available through our Service.  You agree that you will only use the Service for personal, noncommercial uses, unless express permission is given to you by KIP101 to do otherwise.

 

Trademarks, logos or designs used in connection with the Service belong to KIP101.  You are granted no right or license with respect to any of KIP101’s trademarks, logos or designs.

 

Content

Our Service currently or may in the future allow you to add posts, texts, photos, videos, links, files and other material to share with others ("Content").  You are responsible for the legality and suitability of the Content.  You own the Content, and you grant KIP101 a non-exclusive, worldwide, transferable and sublicensable right to use, copy, modify, distribute, publish, make available to other users of the Service, publicly display, reproduce, and process the Content without any further consent, notice and/or compensation to you or others.

 

Content on the KIP101 platform that you did not create is either the property of KIP101 or used by KIP101 with permission.   You must obtain permission from KIP101 before using such content for commercial purposes.

Our Service may contain links to third-party web sites or services that are not owned or controlled by KIP101.  KIP101 has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that KIP101 shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.

 

Disclaimer

The Service is provided on an “as is” and “as available” basis, without warranty of any kind, express or implied.  Without limiting the foregoing, KIP101 expressly disclaim all warranties and conditions of merchantability, title, accuracy and completeness, uninterrupted, secure or error-free service, fitness for a particular purpose, quiet enjoyment, non-infringement, and any warranties arising out of course of dealing or trade usage.  For the avoidance of doubt, KIP101 does not guarantee that the results of using the Service will meet your expectations.  Specifically, KIP101 does not guarantee that using the KIP101 platform will lead to employment opportunities.  KIP101 disclaims all liability for content posted by any user or third party. 

 

Limitation of Liability

You agree that to the maximum extent permitted by law, KIP101 will not be liable to you under any theory of liability. Without limiting the foregoing, KIP101 specifically will not be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of data, opportunities, reputation, or profits or revenues arising out of or in any way connected with your use of, or inability to use, the Services.  Your sole remedy for dissatisfaction with the Service is to stop using the Service. 

 

Some laws do not allow the limitation or exclusion of liability, so these limits may not apply to you.

 

Indemnification

To the maximum extent permitted by law, you agree to indemnify and hold KIP101 and its employees, contractors, agents, officers and directors harmless from and against all claims, obligations, damages, losses, liabilities, and expenses (including but not limited to attorney fees and costs) arising out of: (1) your breach of the Terms; (2) any Content; (3) your usage of the Service; and (4) your violation of any law or the rights of a third party.

 

Governing Law and Jurisdiction

These Terms will be governed by the laws of the State of New York without regard to its conflict of law principles to the contrary.  For any claims for which arbitration is inapplicable, you agree that such claims will be brought in a court in New York.

Waiver and Severability

Failure by KIP101 to enforce any provision in the Terms shall not waive KIP101’s right to do so.

 

If any provision of the Terms is held to be invalid or unenforceable for any reason or to any extent, such invalidity or enforceability shall not in any manner affect or render invalid or unenforceable the remaining provisions of the Terms.

 

Changes

We reserve the right to update or change the Terms at any time.  Thus, we advise you to review this page periodically for any changes.  Your continued use of our service after we post any modifications to the Terms on this page will constitute your acknowledgment of the modifications and your consent to abide and be bound by the modified Terms.
